Once you have decided to expand into the UK the question is how to structure your contractual relationship with the local agent or distributor:
- Do you use your existing standard international agreement (in English) as it is to ensure consistency?
- Do you use a standard international agreement, but have it reviewed under English law to ensure that the agreement complies with local laws?
- Do you tailor-make a contract under English law?

As for agencies, the English rules are based on the English implementation of the EU directive on commercial agents.
As regards distributorships, there is generally freedom to agree the contract but as with most agreements the relationship will be subject to domestic laws such as competition law.
